1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Services") provided by MC375 Ventures, LLC ("MC375," "we," "us," or "our"), including but not limited to Promptr and any other products we operate. By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Products and Services

MC375 Ventures operates multiple products and services. These Terms apply to all of them, including:

• mc375.com — Our corporate website and consulting services
• Promptr (promtpr.io) — Our dynamic teleprompter platform

Individual products may have additional terms or guidelines specific to their functionality. In the event of a conflict between these Terms and any product-specific terms, the product-specific terms will govern for that product.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. Accounts and Registration

Some of our Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not reproduce, distribute, modify, or create derivative works from any part of our Services without our prior written consent.

7. User Content

Where our Services allow you to submit, upload, or otherwise provide content ("User Content"), you retain ownership of your User Content. By submitting User Content, you grant MC375 a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely as necessary to provide and improve the Services. You represent that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights.

8. Payment Terms

Certain Services may require payment. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified. We reserve the right to change pricing at any time with reasonable notice. If you subscribe to a paid Service, you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for any applicable taxes.

9. Third-Party Services

Our Services may integrate with or contain links to third-party services, including payment processors, AI providers, and analytics tools. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MC375 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MC375 VENTURES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless MC375 Ventures, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
